Abstract

The Latin American merger and acquisition (M&A) market offers enormous opportunities. M&A activity in Argentina, Brazil, Chile, Mexico and Venezuela is examined and compared with M&A activity in the United States. Characteristics examined include the industries and form of ownership of the target firms, the types of transactions, and the home countries of the acquiring firms. Differences are found between characteristics of M&A activity in the Latin American countries and the United States. Differences are also found among the characteristics of M&A activity in the various Latin American countries. Implications for managers and areas in need of additional research are discussed.

Abstract

Introduction Since the earliest transaction monitoring studies, researchers have encountered the boundaries that define transaction log analysis as a methodology for studying the use of online information retrieval systems. Because, among other reasons, transaction log databases contain relatively few fields and lack sufficient retrieval tools, students of transaction log data have begun to ask as many questions about what transaction logs cannot reveal as they have asked about what transaction logs can reveal. Researchers have conducted transaction monitoring studies to understand the objective phenomena embodied in this statement: “Library patrons enter searches into online information retrieval systems.” Transaction log data effectively describe what searches patrons enter and when they enter them, but they don't reflect, except through inference, who enters the searches, why they enter them, and how satisfied they are with their results.

Abstract

Purpose

The division of labor of e-commerce transaction system is an important research topic. However, there is a certain disparity between the current mainstream research model and the reality, which leads to a biased result. This paper aims to find the effects of transaction efficiency on the evolution of e-commerce transaction system’s division of labor and the relationships between the results and other parameters.

Design/methodology/approach

This paper puts forward a definition of transaction efficiency based on transaction services and establishes a model of middleman’s specialized production decision of transaction services on this basis.

Findings

The research results show that the transaction efficiency plays an important role on the change of middlemen’s division of labor level. The degree of economic specialization, price of commodities and transaction services and other associated factors also affect middlemen’s division of labor.

Originality/value

This paper is of great significance for evaluating the development level and forecast the development direction of e-commerce.

Abstract

Purpose

Taiwan OTC market is an electronic, order driven, call market. The purpose of this paper is to gain understanding of whether trade size or number of transaction provides more information on explaining price volatility and market liquidity in this market. The paper also aims to investigate how market condition can affect the relationship between information type and trading activities.

Design/methodology/approach

The paper uses data from the Taiwan OTC market to run the empirical tests. It divides firms into five size groups based on their market capitalization. Regression equations are run to test: whether number of transactions has a more significant impact on price volatility on the Taiwan OTC market; the impact of market information on number of transactions; the relative impact of firm specific and market information on number of transactions; and the impact of number of transaction of bid‐ask spread.

Findings

Findings show that the larger the number of transactions, the higher the price volatility. Smaller firms on the Taiwan OTC market are traded based on firm‐specific information. This relation is further affected by market trends. Especially for the larger firms, when the market is up and the amount of market information increases, number of transactions increases. When the market is down and the amount of market information increases, number of transactions decreases. Finally, it is found spread size is more likely to be influenced by number of transactions, instead of trade size. Overall, based on these empirical results, the information content of number of transactions seems to be higher than that of trade size in the Taiwan OTC market.

Practical implications

Investors now understand that number of transaction actually carry more information than trade size does.

Originality/value

The relation between market information and number of transaction, also that between market information and trade size is influenced by market condition. The paper fills a gap in the literature to show that market condition has an impact on the relation between information type and trader's behavior. A number of transactions are identified that provide more information than trade size does. It is also shown that market conditions can further affect the impact of information on trading activities.

Abstract

Purpose

The purpose of this paper is to present a scheduling model, scheduling algorithms, and formal model and analysis techniques for concurrency transaction in grid database environment.

Design/methodology/approach

Classical transaction models and scheduling algorithms developed for homogeneous distributed architecture will not work in the grid architecture and should be revisited for this new and evolving architecture. The conventional model is improved by three‐level transaction scheduling model and the scheduling algorithms for concurrency transaction is improved by considering transmission time of a transaction, user's priority, and the number of database sites accessed by the transaction as a priority of the transaction. Aiming at the problems of analysis and modeling of the transaction scheduling in grid database, colored dynamic time Petri nets (CDTPN) model are proposed. Then the reachability of the transaction scheduling model is analyzed.

Findings

The three‐level transaction scheduling model not only supports the autonomy of grid but also lightens the pressure of communication. Compared with classical transaction scheduling algorithms, the algorithms not only support the correctness of the data but also improve the effectiveness of the system. The CDTPN model is convenient for modeling and analyzing dynamic performance of grid transaction. Some important results such as abort‐ratio and turnover‐time are gotten by analyzing reachability of CDTPN.

Originality/value

The three‐level transaction scheduling model and improved scheduling algorithms with more complex priority are presented in the paper. The paper gives a CDTPN model for modeling transaction scheduling in grid database. In CDTPN model, the time interval of a transition is a function of tokens in input places of the transition.

Abstract

Purpose

After the effective date of International Financial Reporting Standard (IFRS) 15, the accounting treatment of credit card rewards programmes (CCRPs) is no longer explicitly prescribed. Uncertainty regarding what constitutes faithful representation, and the inconsistent accounting practices observed, has created a need for guidance on the appropriate accounting treatment of CCRP transactions. Accounting theory has the potential to provide the foundation for this guidance. As a result, the objective of this study was to develop a theoretical model for the accounting treatment of CCRP transactions using accounting theory.

Design/methodology/approach

This non-empirical qualitative conceptual study utilised document analysis, focussing specifically on accounting theory, to construct an accounting treatment model.

Findings

Applying the relevant accounting theory (International Accounting Standards Board's (IASB's) Conceptual Framework), a theoretical model for the accounting treatment of CCRP transactions was developed, which emphasises the importance of understanding the economic phenomenon (the CCRP transaction) and determining how management views the transaction (in isolation as marketing or as an integral part of the credit card transaction).

Originality/value

Addressing the problem of accounting for CCRP transactions with reference to accounting theory (which is the main element of scholarly activity in accounting) distinguishes this study from previous research on the topic. The CCRP accounting treatment theoretical model could assist CCRP management in faithfully accounting for a CCRP transaction and reduce uncertainty and inconsistency in practice. Moreover, this study identified the procedures to be employed when using accounting theory to determine the appropriate accounting treatment of business transactions. These procedures could be employed by accountants when faced with other transactions not covered by specific accounting standards.

Abstract

Purpose

The purpose of this study is to propose a decentralized multi-party cross-trading scheme based on a certificate transaction mechanism for the transaction of excess consumption certificates (ECCs) of renewable energy. The aim is to address the problems associated with the existing centralized transaction mode and to promote the development of the green electricity industry.

Design/methodology/approach

The proposed scheme involves calculating the quotation difference for the same type of certificate transaction based on the quotations of all users of both buyers and sellers. The transaction volume is then determined based on the order of quotation difference from large to small, and the total interests of cooperation are calculated. The nucleolus method is adopted to allocate the total interests to each member of the alliance and calculate the final transaction price. The blockchain technology is used for the transaction to achieve accurate traceability and efficient supervision, and a corresponding smart contract is designed and simulated in the Ethereum consortium chain.

Findings

The results of the simulation show the rationality and effectiveness of the proposed scheme. The decentralized multi-party cross-trading scheme can overcome the problems associated with the existing centralized transaction mode, such as low transaction efficiency, difficulty in obtaining the optimal transaction strategy and efficient supervision. The proposed scheme can promote the development of the green electricity industry by stimulating users' demand potential for green electricity.

Originality/value

The proposed scheme is original in its use of a certificate transaction mechanism to facilitate the trading of ECCs of renewable energy. The scheme adopts a decentralized multi-party cross-trading approach that overcomes the problems associated with the existing centralized transaction mode. The use of the nucleolus method for the allocation of total interests to each member of the alliance is also original. Finally, the use of blockchain technology for accurate traceability and efficient supervision of the transaction is an original contribution to the field.

Abstract

Purpose

This study which is positioned in the ambit of control research investigates the impact of ex ante contractual completeness on opportunistic behaviors and ex post transaction costs, while assessing how these affect relationship termination intention. This study aims to examine alternative attractiveness as a necessary moderator of the nexus between transaction cost and relationship termination intention.

Design/methodology/approach

Data gathered from 211 companies in South Korea that have installed and run outsourced vending machines are analyzed and used to validate the study’s theoretical and empirical contributions.

Findings

The findings, which rely only on data from companies that outsource and those that run outsourced vending machines, show that contractual completeness negatively affects both active and passive opportunism. The study also discovers that active opportunism positively affects both bargaining costs and monitoring costs, whereas passive opportunism has a positive and direct effect on maladaptation costs but a negative effect on monitoring costs. It further finds that both bargaining and maladaptation costs have positive and direct effects on relationship termination intention, while monitoring costs have a negative effect on the same. Furthermore, it is observed that alternative attractiveness moderates the relationships between bargaining costs and relationship termination intention, as well as maladaptation costs and relationship termination intention.

Practical implications

This study demonstrates that contractual completeness can serve as an important ex ante control mechanism, whereas the two types of opportunism can raise transaction costs. Furthermore, alternative attractiveness is identified as a driver of the impact of transaction costs on relationship termination intention.

Originality/value

A key point of the departure of this study is that it examines the moderating role of alternative attractiveness in the relationship between transaction cost and relationship termination intention. The paper also advances the control literature by emphasizing the critical role that contractual completeness plays in reducing the occurrence of (both active and passive) opportunism in business relationships (especially companies that outsource).

Abstract

Purpose

In 2021, nonfungible token (NFT) has emerged and grown as a new digital asset and became a carrier for cryptocurrency holders in China. NFT opens the door of the digital world for creators’ rights and the realization of economic interests. However, potential problems such as money laundering, terrorist financing and tax avoidance risks have increased in China due to the lack of regulations. As tax control is an important tool used by the government to adjust the economy and market, this study aims to investigate the future market capitalization of NFT and provide value orientations to control the NFT market in China with a tax control approach based on the positive experience of other countries.

Design/methodology/approach

In this study, least squares and expert estimation are applied to predict the future market capitalization based on the global market, which can provide an understanding of the current NFT market and the significance of its tax control. In addition, the tax control and interpretation of Chinese taxation institutions and structures are also explored.

Findings

Results include the probable tax structure or policy that national institutions can carry out over different transactions. Conclusions show that introducing tax control to regulate and monitor the rise of state revenue and decline of illegal financing activities. Establishing tax control in the Chinese NFT market can provide a centralized guarantee to ensure the safety and legality of transactions and enable further progress.

Originality/value

This study puts forward new ideas on the future development of nonprofitable tokens based on blockchain technology from the perspective of taxation in China.
