Abstract

Purpose

To explain recent amendments by the US Securities and Exchange Commission (the SEC) to Sections 312.03(b) relating to issuances of securities to substantial stockholders (the Substantial Stockholder Issuance Rule) and 312.03(c) (the 20 Per cent Rule) of the New York Stock Exchange’s (the NYSE) Listed Company Manual to change the definition of “market value” for purposes of the 20 Per cent Rule and eliminate the requirement for shareholder approval of certain private issuances at a price less than book value but greater than market value.

Design/methodology/approach

This article provides background on the purpose and policy behind the Substantial Stockholder Issuance Rule and the 20 Per cent Rule and summarizes the provisions of each rule, both before and after the recent SEC amendments thereto. This article then highlights the most important changes to the Substantial Stockholder Issuance Rule and the 20 Per cent Rule and explains the implications thereof for NYSE-listed issuers.

Findings

The amended Substantial Stockholder Issuance Rule and the 20 Per cent Rule provide NYSE-listed issuers greater flexibility in structuring transactions involving private placements of equity and will likely reduce the number of such transactions requiring a shareholder vote.

Practical guidance from experienced corporate finance and capital markets lawyers.

Abstract

Purpose

To explain a recent amendment by the US Securities and Exchange Commission (the SEC) to Nasdaq Rule 5635(d) (the 20 per cent Rule) to change the definition of “market value” for purposes of the 20 per cent Rule and eliminate the requirement for shareholder approval of certain private issuances at a price less than book value but greater than market value.

Design/methodology/approach

This article provides background on the purpose and policy behind the 20 per cent Rule and summarizes the provisions of the 20 per cent rule, both before and after the recent SEC amendment thereto. This article then highlights the most important changes to the 20 per cent Rule and explains the implications thereof for Nasdaq-listed issuers.

Abstract

Purpose

Since the global financial crisis of 2007-2009 academic research has paid considerable attention to understanding the nature of the crisis, its causes and consequences. This is not surprising given the scale and scope of the crisis. Much of this research has been undertaken within social science disciplines. At the same time, the crisis has also been the subject of fiction – novels, poetry and drama, and there is also a small body of academic scholarship on fiction relating to the crisis (and on finance in fiction more generally). The purpose of this paper is to suggest that fiction can offer a new perspective on the global financial crisis and thereby enhance our understanding of it.

Design/methodology/approach

This exploration draws upon three works of post-crisis fiction: the 2009 play by David Hare, The Power of Yes: A Dramatist Seeks to Understand the Financial Crisis (hereafter The Power of Yes); Other People’s Money, a novel by Justin Cartwright (2011); and Robert Harris’s novel The Fear Index also published in 2011. Its approach is based on close readings of the three texts in question.

Findings

Finance fiction stimulates a reconceptualization of the global financial crisis as a crisis of innovation and technological change.

Originality/value

This paper is a viewpoint article. The originality lies in the author’s interpretation of reading the global financial crisis through fiction.

Most institutions around the world provide opportunities for students to study outside of their own country for short- or long-term educational experiences. There is a gender imbalance for those seeking these experiences, with more women than men applying to study outside of the United States and only slightly more men than women are looking to study abroad in the United States. A qualitative study was conducted in the United States with American men who had studied abroad and male international students studying in the United States. Understanding what motivates men to take advantage of these learning opportunities will lead to greater promotional efforts to attract more men to these experiences.

Abstract

Purpose

Transformational leadership (TFL) has been identified by a number of studies as a positive force for business success. However, few studies have explicitly examined its influence on the cooperative employment relationship, such as frontline employees' voice in the workplace. Thus, this study conducts an empirical analysis of dual-level (i.e. group-focused and individual-focused) TFL and its effect on frontline employees' cooperative voice.

Design/methodology/approach

This empirical study is based on data from a survey of 468 full-time frontline workers from 38 hotels in China.

Findings

The empirical results revealed that both individual-level and group-level TFL are significantly associated with frontline employees' cooperative voice. Person–Organization value congruence and Person–Supervisor value congruence both act as mediators in the linkage between group-level TFL and employees' cooperative voice behaviors. The partial mediating role of Demand–Ability congruence on the relationship between individual-level TFL and cooperative voice is also established.

Originality/value

First, this study investigates the dual-level effects of TFL on the cooperative voice behavior of frontline employees. Second, this study explores whether three dimensions of value congruence mediate the influence of TFL on the voice behaviors of employees.

Abstract

Purpose

The purpose of this paper is to examine whether operating countries influence restaurant franchising system performance and what would be an optimal international franchise proportion.

Design/methodology/approach

The authors observed ten publicly traded franchise firms that operated between 1995 and 2015. Data analysis is conducted through a generalized linear model (GLM) of panel data.

Findings

The model confirms a curvilinear U-shaped relationship between international franchise expansion and firm performance, similar to domestic franchising. The authors found that international franchisors have a higher optimal franchise proportion than domestic franchisors. The authors did not find that operating countries influence firm performance.

Originality/value

This study contributes to franchising literature by expanding limited empirical studies on international franchising. It provides practitioners with a new optimal franchise proportion at the international level.

Abstract

Purpose

The first indication that traditional lecture-style teaching is not very effective was provided by Dr Donald Bligh in the 1980s and 1990s. As empirical evidence about this fact has continued to accumulate, science, technology, engineering, and math (STEM) education in the USA has undergone a significant change in emphasis away from lecture-based approaches in favor of systems emphasizing more interactive learning. The paper aims to discuss this issue.

Design/methodology/approach

A wide range of experimental research has employed the principles of scientific teaching to investigate the efficacy of an ever widening range of pedagogical methods. For STEM education, the most successful of these has been active learning.

Findings

At its core, active learning is a redesign of in-class activities to maximize interactivity and feedback through facilitated problem-solving environments. Although the efficacies of both scientific teaching and active learning have been verified in a wide range of empirical works, the dissemination of these platforms, in general, teaching has been slow, even in the USA.

Research limitations/implications

The first significant impediment has been an overall lack of awareness coupled with general skepticism about alternative learning methods.

Practical implications

This paper first reviews the education literature behind scientific teaching and active learning before reviewing some of the challenges to their implementation on an institutional level.

Social implications

These challenges and known solutions are then applied to the European and East Asian contexts to examine why scientific teaching and active learning remain predominantly an American phenomenon.

Originality/value

For East Asian countries, the authors offer a commentary on how certain aspects of Confucian classroom culture may interact negatively with efforts to install scientific teaching and active learning systems.

Abstract

Purpose

The purpose of this paper is to examine the feasibility of using the Evernote note-taking application in research consultation as a way to respond to the challenges of doing research in the twenty-first century digital environment.

Design/methodology/approach

This study examines the results of surveys conducted at the time of research consultation and at the end of the semester when the students had completed the research needed for their assignments.

Findings

The study found that students are open to having a tool like Evernote used in the research consultation and that the tool can be helpful in organizing the information and search terms discussed in the consultation.

Research limitations/implications

Due to the size of the sample in the study, further research with a larger sample size should be conducted.

Practical implications

This paper outlines a promising method of collaborating and documenting resources in the research consultation.

Originality/value

Using the note-taking application Evernote in research consultations creates a more interactive service.

Abstract

Purpose

This exploratory study aimed to investigate law enforcement officers’ decision-making processes in high-stress scenarios, exploring variations based on experience and how cognitive demands influence officer decision-making processes.

Design/methodology/approach

Employing a naturalistic decision-making approach and macrocognitive framework, the study utilizes scenario-based virtual reality simulations and qualitative interviews to examine the decision-making processes of law enforcement officers in high-stress policing contexts.

Findings

Thematic coding of interview data from twelve LEOs immediately following a high-stress virtual reality task revealed differences in decision-making processes and cognitive demands between novice and expert officers. Findings also revealed differences in the type of cognitive demands experienced by officers at key points in the simulated scenario.

Originality/value

The authors offer theoretical and practical contributions toward an increased understanding of officer decision-making, factors and conditions that impact LEO decisions and potential mitigation strategies that law enforcement organizations may leverage to improve officer decision-making in high-stress contexts.

Abstract

Purpose

The purpose of this paper is to investigate how public relations practitioners view their role in guiding their organizations’ frontline (nonnominated) employees’ social media use and the tensions that organizations must navigate when they interact with their employees online.

Design/methodology/approach

This study utilizes in-depth interviews with 24 PR practitioners in the USA. Data were analyzed via grounded theory’s approach to open, axial, and select coding.

Findings

PR practitioners engage in three activities to guide employees’ social media use: serving as a reactive-technical resource; supporting employee communities; and responding to incidental monitoring of social media posts.

Research limitations/implications

The study extends stakeholder theory by describing the normative expectations that are placed on employees when it comes to discussing the organization online.

Practical implications

Recommendations are offered for PR practitioners regarding the boundary-respecting management of nonnominated employees’ social media use.

Social implications

Findings point to a greater understanding about frontline workers’ roles in supporting their organizations and the need for organizations to carefully explain social media policies.

Originality/value

Scholars have not fully explored the challenges that firms face when they seek to influence employees’ personal social networking activities. There is new insight about the ways in which organization can ethically engage with employees in digitally mediated spaces.
